Centriq Studios Terms and Conditions

These terms and conditions (the "Terms and Conditions") apply to the video production services provided by Centriq Group, LLC dba Centriq Studios ("Company") to the customer ("Customer") for the filming, editing and production of video content (the "Service"). By using the Service, Customer agrees to be bound by the Terms and Conditions.

Service Description: The Service shall be limited to the filming, editing and production of video content in accordance with the specifications provided for the Base Package or the Advanced Package (whichever is selected by Customer) as set forth on the Centriq Studios website (www.centriqstudios.com). Company will use reasonable efforts to complete the Service within the timeframe agreed upon, subject to any delays caused by Customer's failure to provide necessary assets, information, or materials.

Payment: Unless otherwise agreed to in writing by Customer and Company, Customer shall pay Company the cost of the Service via credit card at the time of the purchase of the selected package on the Company’s website.

Changes to Scope of Services: Any changes to the scope of the Service must be agreed upon in writing by both parties and may result in additional fees or an extension of the project timeline.

Revisions: Customer may request reasonable editing revisions to the video up to two times. Additional revisions will incur additional fees. Company shall provide an estimate of the cost for additional revisions if requested. There will be an additional cost in the event Customer requests additional filming of any video(s).

Cancellation: Customer may cancel the Service by providing written notice at least 48 hours prior to the first scheduled filming. In such event, Customer shall be entitled to a full refund. If the Service is canceled after the start of any filming session, Customer shall not be entitled to any refund and shall be responsible for full payment for the Service.

Ownership of Materials: Upon receipt of payment in full, Customer shall have ownership of the final video(s) produced by Company pursuant to the Service. Company retains the right to use the video(s) for promotional purposes provided there in no confidential or proprietary information included in any such video – which such information must be disclosed to Company in writing within seven days of delivery of any finished video.

Indemnification: Customer shall indemnify and hold Company harmless from any and all claims, damages, expenses, and liabilities arising out of or in connection with Customer's use of the video(s) or any content contained in such video(s).

Confidentiality: Company shall keep all information provided by Customer confidential and shall not disclose such information to any third party without the prior written consent of Customer. Customer shall keep confidential any proprietary or confidential information of Company obtained in connection with the Service.

Warranties and Representations: Company warrants and represents that it will provide the Service in a professional and workmanlike manner and that the video(s) will be free from defects in material and workmanship in terms of the video and audio quality. If Customer notifies Company of any defects within seven days of delivery of the final video(s), Company shall promptly remedy the defects. Customer warrants and represents that it has all necessary rights and permissions to use all content and materials – including any third-party content or materials - provided to Company in connection with the Service.

Limitation of Liability: Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the Service, even if Company has been advised of the possibility of such damages.

Disclaimer: Company is not responsible for the accuracy or quality of the content provided by Customer or any third party involved in the Service. Company is also not responsible for the quality of the performance of any individuals featured or participating in the video, including but not limited to actors, speakers, or participants. Customer acknowledges and agrees that Company has no control over the performance or behavior of such individuals, and that any issues with their performance or behavior are not the responsibility of Company.

Governing Law: This agreement shall be governed by and construed in accordance with the laws of the Missouri.

Entire Terms and Conditions: These Terms and Conditions contain the entire understanding between the parties and supersedes all prior negotiations, understandings, and agreements between the parties with respect to the subject matter of these Terms and Conditions. Any modifications to these Terms and Conditions must be in writing and signed by both parties.

By purchasing the Service, Customer agrees to the above Terms and Conditions.
